A. Name, Address, Type of Business:

Black Rose Spiritual Center is a religious non-profit Montana corporation, being a non-denomination
spiritual center located at 2898 Highway 93 North, Kalispell, Montana. The Center provides a wide
range of clergical, pastoral counseling, and spiritual services as explained further in this plan. Dr. Nikki
J. Delaney, Reverend, and James R. Delaney, Reverend then of 420 Mill Creek Road, Hamilton, MT are
the founders of the Center.

B. Date Founded, By Whom, Why:

Black Rose Spiritual Center has been a long held calling for Dr. Delaney. In August of 2001 when she
received notification that her degree programs would be completed in December she and her husband
spent several months soul-searching and deciding just how best to serve mankind with their abilities.
They were encouraged to continue with the positive input received from friends and associates. One
comment that was raised quite frequently was how difficult it was to have something other than the
standard church or justice of the peace wedding here in the Valley. Finding someone to officiate
apparently is a real problem. Another common complaint was the lack of professional quality spiritual
practitioners for counseling, path guidance and path research assistance. Dr. and Rev. Delaney began
planning and working on the Center specifically in August of 2002.

The core aspect of the Center, the new-age and spiritual counseling was decided on following Dr.
Delaney’s nearly four years of experience doing “psychic” readings part time as an independent contractor
while completing her education. That experience over an extended period indicated that the new-
age/spiritual counseling services could be a strong central income generator for the Center. Dr. Delaney’s
experience in the area was an impetus for her and Reverend Delaney’s choice to open a spiritual center to
serve the needs of the members of the community.

Black Rose Spiritual Center was founded on the 2nd of January, 2002 with the Articles of
Incorporation being approved by the State of Montana on the 7th of January of that year. Dr. Nikki J.
Delaney, who has made a lifetime study of spiritual matters, ultimately earning her doctoral degrees in
Divinity and Theology, was the incorporator of the Center. Black Rose Spiritual Center was developed
to promote the message of tolerance and understanding between the wide and varied religious and
spiritual beliefs of our time along with providing pastoral/clergical support and services for those
individuals who have chosen the solo spiritual path. Since January of 2002, Black Rose Spiritual
Center has grown to be a multi-faceted spiritual organization offering a wide range of services.

C. Form and Ownership:

Black Rose Spiritual Center is a religious non-profit corporation duly organized under the Laws of the
State of Montana (Filing Number: D-113412-385819). The Center has applied for its formal
recognition as a non-profit agency by the Internal Revenue Service under 501(c)(3) status and received
notification of the approval in July of 2002. Black Rose Spiritual Center’s Federal Employer

D. Mission Statement, Business Goals

Our mission is to provide a place of worship, a community, and a connecting point for like minded
individuals who identify themselves as being on a spiritual path or journey. We shall provide for all
manner of pastoral services through trained members of the Clergy. We shall endeavor to facilitate
communication between members of all esoteric religions and those of the more common religions of the
present day, and seek to educate both the general public and members of the Church about various beliefs
and practices as a whole.

First Year Goal: To have membership of 35 active Center members (accomplished). We have established
the Center as a viable and contributing entity within the community. To establish a steady clientele base
for pastoral/spiritual services and counseling of at least 100 with the e-commerce launch. We hope to
begin in-house publishing of literature and information prepared by Black Rose spiritual Center
personnel.

Second Year Goal: To have benefits for employees/staff of the Black Rose Spiritual Center commiserate
with equivalent positions in other non-profit organizations in the area. To be in a financial position for
Black Rose Spiritual Center to be able to obtain a site for the operation of the Center; including a general
meeting room, offices, for staff personnel, supply storage area, and a garden area for services for those
who prefer to perform their devotions in the out of doors.

Fifth Year Goal: To have established solid fund raising avenues such that the brick and mortar can be
expanded to include a nature/wilderness focused Spiritual Retreat Center.

E. Key Officers, Management

The Key Officers and Management for the Black Rose Spiritual Center are:

Lead Clergy: Dr. Nikki J. Delaney, Reverend. For Dr. Delaney’s administrative, managerial and
business experience please see her resume attached hereto. Dr. Delaney, as Lead Clergy, will hold the
primary responsibility for management of the Black Rose Spiritual Center. Dr. Delaney has over 20 years
of administrative and managerial experience as evidenced by her attached resume. She has been
responsible for the accounting and bookkeeping of law offices with operating budgets in excess of $900
Million annually. For the past six years Dr. Delaney has focused her efforts on establishing a stable base
for Black Rose Spiritual Center through fundraising efforts, administrative oversight, and growth
management practices.

Second Clergy: Reverend Dennis A. “Sam” Eskew. Reverend Eskew brings a wide range of experience
and education to Black Rose Spiritual Center. As an ordained clergy Reverend Eskew has been
responsible for conducting ceremonies and spiritual counseling. With his past experiences he brings
knowledge of New Age practices such as Reiki massage, massage therapy, the gift of patience with
people, and a strong connection with his spiritual nature. This all combines to make his input an
essential part of our Board of Directors. Additionally, Reverend Eskew is the primary overseer of our
shut-in visits.

Steward: In 2007 we appointed a new Steward. Ms. Marissa Tilton. Ms. Tilton has been a volunteer
of Black Rose Spiritual Center for many years. Ms. Tilton will be working with Dr. Delaney this year to
ensure that Black Rose Spiritual Center’s financial affairs are run in accordance with appropriate
guidelines for the Center and U.S. law. Ms. Tilton is conversant in QuickBooks, and QuickBooks will be
used as the primary bookkeeping system for the Center. Ms. Tilton has a considerable work history in the
administrative arena. Further, she has over ten years of experience in non-profit organizations, including
holding local offices.

E-Commerce:
Black Rose Spiritual Center has created two full websites for the organization. These two
websites (www.blackrosespiritualcenter.org and www.drnikki.com ) are the core of our e-commerce.
Both sites are fully functional and interactive in that clients can completely navigate the websites, make
purchases, donations, or contact us in just a click or two of their mouse. We are currently in the process
of finalizing the two sites in order to conduct a fully funded marketing/advertising launch for the sites
on January 31, 2008. All of the above services are available for purchase on one of the two websites.
All income from either website is property of Black Rose Spiritual Center.

Medical Herbs:
Here at Black Rose Spiritual Center we believe in caring for the body as well as the mind and
spirit. In recognition of that, in order to help our congregation, we grow organic medicinal herbs under a
State Run Program in which both we and the individual receiving the herbs must be registered. This has
become a core part of our organization as we not only deliver the medicinal herbs directly to the member
we also conduct in home visits with many of them who are shut-ins. We serve over thirty people in a
four county area (Lincoln, Flathead, Sanders and Lake) and are currently processing clients from East of
the Divide (near Havre) and Ravalli county. This is a very vibrant and expanding fundraiser for the
Center with patient growth continuing where even now we have three people processing the State
system to participate with us.

G. Markets/Customers Served

Black Rose Spiritual Center’s services can be utilized by individuals of any age (however, minors under
the age of 18 must have written authorization from their parents to participate in activities or receive
services, except for purchases of booth items). Market research indicates that the prime target market are
females, aged 25-65.

Black Rose Spiritual Center’s regional market focus is actually two fold. We have identified two
specific markets:

1. State of Montana: Here in the State of Montana, we will be focusing on providing spiritual
services for those that need them. By providing such services as wedding officiates, spiritual counseling,
new age services such as tarot readings, ministerial duties for our congregation (we are currently
providing support services for a widow who is facing serious challenges, we are conducting a wedding
ceremony this week and have several more on the schedule) to those who, for whatever reason, do not
have a support network to help them through times of distress. The “market” here would be anyone we
come in contact with who may need our assistance. However, an honest assessment of a quantifiable
market niche would be the average of 200 persons per year we have been sustaining for the past two
years. The actual market is far larger, estimated to be in the 10,000 to 15, 000 market. It is our belief
that assisting those who need our help during a time of distress is something we should not charge a fee
for as it would be preying on those in dire need. We consider the in person spiritual services provided
here in Montana while being one of the most core activities to our organization’s charter, will be the
least income generating for the Center.
During the summer of 2007 we did a summer long research study of the viability of attending
Fairs, Festivals and Events in the local area. In order to participate as a vendor we developed a range of
merchandise that was spirituality based to help get our message across. Merchandise created were
candles, rune stone jewelry, rune stone sets, hand-made bookmarks with spiritual messages, broadsides,
and conducted Tarot readings for the public. These were found to be profitable and we plan to engage in
them in a restricted number, choosing a few specific venues as opposed to hitting every one we can get in,
in the 2008 crafting season. Our target festivals are those with attendance of 1,000 persons or more.
The booth is considered more of an outreach so that we can get our message of who we are as a Spiritual
Center and what we do out to the people as opposed to a primary income generator.

2. World Wide Web: We are nearing the end of a three year project. On January 31, 2008 we will do a
full marketing and advertising launch of our two websites: www.blackrosespiritualcenter.org – which
focuses on spiritual and ministerial services provided along with a wide range of information on
spiritual and/or religious matters (Church on the Web); and www.drnikki.com – which focuses on New
Age services and spiritual counseling.
As we are just launching, it is difficult to quantify numerically the market number. However, each site
has been produced with a specific message and intention to appropriate target audiences. The Church on
the Web “target market” is those that are looking for help with a personal spiritual choice, information
on various belief systems, and those who are looking for spiritual support within a “religious”
community. It is estimated that less than 50% of Americans attend church on a regular basis. As a non-
denominational spiritual center, it is part of our charter that we assist any who comes to us for spiritual
guidance, community or fellowship as best we can without judgment of their beliefs. Again, these
services will probably be the least income generating although the most important to our true purpose.
DrNikki.com is a New Age website offering a wide range of services. Dr. Nikki’s life coach, spiritual
counseling, and psychic readings services have been one of the two primary supports of our financial
income over the past five years. A gifted reader with a strong clientele, we are getting ready to launch
Dr. Nikki’s website with an opportunity of a lifetime tie-in. (Please see “Cancer Vixen Tie-In” under the
Marketing Plan.) There is a strong international community of individuals interested in and using life
coaches, psychics and spiritual counselors. The target market for Dr. Nikki’s services is normally an
American, Canadian, or Englishman living in a suburban or urban area, female, aged 28-60, professional
with an income in excess of $60,000, and married. This market of individuals interested in and willing
to talk with a psychic is becoming larger. One can barely turn on the television without seeing either a
fictional or non-fiction show about psychics, psychic investigations, dream analysis and more. With
these once thought “arcane” activities brought into living rooms daily, the stigma of these services has
nearly ceased to exist. It is expected that DrNikki.com income will be a primary aspect of our financial
income with donations for Black Rose Spiritual Center requested for compensation for the services Dr.
Nikki provides.

3. Medicinal Herbs. We operate under a sanctioned State Program. There are only a limited number of
people eligible to participate in this program. There are currently nearly 300 people in the program. We
have over thirty of those people signed with us now. Although we have done no marketing we have
tripled our clientele for this service in less than a year. We have several of the people who have to
authorize participation in the program that recommend us to participants. We have been averaging a
growth rate of nearly three (twenty in seven months) clients per week. We expect to be able to continue
to sustain growth up to a total of fifty participants. We are fortunate enough to be able to enjoy
numerous direct streams into this target market with minimal work on our part. This service is tied to
serving those in body, mind and spirit and we ask for a donation from participants.

H. Distribution of Products/Services:

Black Rose Spiritual Center will distribute services in a variety of ways:

1. In Person:

a. Booth Sales: Booth sales will be done one on one. Black Rose Spiritual Center will participant
in a few events during the 2008 season (no more than one per month). Although we will have our
standard booth goods (candles, spa in a box, rune stone sets, rune jewelry, etc.) and offerings (Tarot
readings, Rune readings, etc.) the booth aspect is more of an advertiser than an income generator.

b. Pastoral/Clergical Services. Black Rose Spiritual Center will offer spiritual counseling and one-
on-one either in person or on-line (through video-chat technology). Should the individual prefer staff
members will meet them at the time and place of the client’s choosing, we will facilitate that to the best
of our ability within reason. In cases where we travel to the client we may charge travel expenses if
appropriate.

2. Telephone: Black Rose Spiritual Center is please to provide pre-paid telephonic consultations with
interested persons. Our policy dictates that clients pay any long distance telephone fees associated with
the call.

3. Mail. Mail delivery of pre-paid information (i.e. pre-paid printed astrology reports, date analysis,
etc.) purchases.

4. E-Commerce. E-Commerce brings another venue to our distribution which will be through the
internet itself. Since a lot of the information is intellectual, it can be distributed through such venues as
web site “drops” (wherein the information is posted on a specific website and the client is allowed access
through a paid-for password), electronic mailings and other venues available on the World Wide Web
such as real time chats and videoconferencing.

It should be noted that Black Rose Spiritual Center uses PayPal (www.paypal.com) as it’s internet
financial interface. All donations for all services purchased through the internet are paid through our
Paypal account. This allows for a smooth interface for a wide range of avenues for individuals to make
their donations.
